Terms of Service

1. Overview & Agency Appointment

Vexturr ("we", "us", "the platform") is a curated marketplace facilitating the negotiation and conclusion of sales between clients ("Buyers") and digital service providers ("Sellers" or "Creators").

Commercial Agency Appointment: Every Seller on Vexturr hereby appoints Vexturr as its authorized commercial agent with the permanent authority to negotiate and conclude the sale of services. By using the platform to list services, Sellers grant Vexturr the authority to receive payments from Buyers on the Seller's behalf.

2. Accounts

Eligibility: You must be at least 18 years old to use Vexturr. You are responsible for keeping your account credentials secure.

Usernames: Your username is permanent and forms your public brand URL (e.g., vexturr.com/username). It cannot be changed after signup. Vexturr reserves the right to modify usernames that conflict with system routes or operational requirements.

Termination: We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or circumvent the platform's payment systems.

3. Ordering & Payments

Currency: All prices are listed in USD.

Settlement of Debt: Vexturr acts as the Seller's authorized agent. When a Buyer pays for an order, the receipt of funds by Vexturr legally constitutes settlement of the Buyer's debt to the Seller.

Agent Authority: The Seller instructs Vexturr to hold these funds and only process the payout to the Seller after the Buyer has confirmed that the work meets the agreed-upon requirements.

Buyer Protection: Payment is held by Vexturr (as the Agent) until the work is delivered. If a Seller fails to deliver, the Buyer is entitled to a full refund of the funds held by the Agent.

4. Delivery & Revisions

Sellers commit to delivering work within the timeframe stated on their service listing.

Each service includes a specified number of revisions. Revision requests must be submitted within 7 days of the delivery date.

If no revision or approval is submitted within 7 days, the order may be automatically marked as complete by the system.

5. Refunds & Cancellations

Orders may be cancelled and refunded in full if the Seller has not yet started work, or if they fail to deliver within the agreed timeframe.

Once work has been delivered and approved by the Buyer, orders are considered complete and non-refundable.

Disputes that cannot be resolved between Buyer and Seller may be escalated to Vexturr support, acting as the Agent, whose decision is final.

6. Intellectual Property (IP)

Assignment of Rights: Upon full payment and order completion, the Seller assigns and transfers all intellectual property rights for the delivered work to the Buyer for commercial use, unless the listing explicitly states otherwise.

Third-Party Assets: Sellers must ensure all assets used (fonts, stock footage, etc.) are properly licensed for commercial transfer to the Buyer.

7. Seller Conduct & Prohibited Content

Platform Integrity: Sellers may not solicit off-platform payments or share private contact information to bypass Vexturr fees.

Content Standards: You may not use Vexturr to create or distribute content that is illegal, defamatory, infringing, or harmful. Vexturr reserves the right to remove any content or service listings that violate these standards.

8. Platform Fees & Payouts

Agency Fee: Vexturr deducts a 20% commission from each Seller payout for the services provided as a commercial agent.

Payout Process: Payouts are processed manually via PayPal or Wise approximately 7 days after a Buyer approves an order.

Taxes: Sellers are independent contractors and are responsible for any taxes applicable to their income in their local jurisdiction.

9. Limitation of Liability

Vexturr acts as an intermediary commercial agent and is not the provider of the digital services. We are not liable for the quality, legality, or fitness for purpose of any service delivered by a Seller. Our total liability shall not exceed the amount paid for the specific order in dispute.

10. Changes to Terms

We may update these Terms at any time. Continued use of the platform after changes are posted constitutes acceptance of the new Terms. Material changes will be notified to users via email.
